1. Agreement to Terms

By accessing or using Payzo ("Service," "Platform," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all users, including merchants, customers, and visitors.

2. Service Description

Payzo provides payment processing services that allow merchants to accept credit card payments and receive cryptocurrency payouts. Our services include:

  • Payment gateway and checkout pages
  • REST API for payment integration
  • Cryptocurrency withdrawal services
  • Webhook notifications
  • Transaction management dashboard

3. Eligibility

To use Payzo, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into binding contracts
  • Not be located in a restricted jurisdiction
  • Comply with all applicable laws and regulations
  • Provide accurate and complete information

4. Account Registration

To use our merchant services, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access
  • Accept responsibility for all activities under your account
  • Not share your account with others

We reserve the right to suspend or terminate accounts that violate these Terms.

5. Fees and Pricing

5.1 Transaction Fees

  • Free Plan: 20% per successful transaction
  • Pro Plan: $100/month + 15% per successful transaction

5.2 Fee Collection

Fees are automatically deducted from each transaction before funds are added to your balance. For example, on a $100 transaction with the Free plan, $80 is added to your balance and $20 is retained as our fee.

5.3 Fee Changes

We reserve the right to modify our fees with 30 days' notice. Continued use of the Service after fee changes constitutes acceptance of the new fees.

6. Prohibited Activities

You may NOT use Payzo for:

  • Illegal goods or services
  • Fraudulent or deceptive practices
  • Money laundering or terrorist financing
  • Adult content or services (without prior approval)
  • Gambling or betting services (without proper licensing)
  • Drugs, weapons, or controlled substances
  • Stolen goods or counterfeit items
  • Pyramid schemes or multi-level marketing
  • Services that violate intellectual property rights
  • High-risk or prohibited businesses as defined by card networks

Violation of these restrictions may result in immediate account termination and fund withholding.

7. Payment Processing

7.1 Transaction Authorization

By using our Service, you authorize us to process payments on your behalf through our payment processor. You are responsible for the accuracy of transaction amounts and descriptions.

7.2 Chargebacks and Disputes

You are responsible for all chargebacks and disputes. We will deduct chargeback amounts and associated fees from your balance. Excessive chargebacks may result in account suspension.

7.3 Refunds

When you issue a refund, the full transaction amount (including our fee) is returned to the customer, and the net amount is deducted from your balance. We do not refund our processing fees.

8. Cryptocurrency Withdrawals

Cryptocurrency withdrawals are subject to the following:

  • Withdrawals are processed within 3 business days
  • You are responsible for providing accurate wallet addresses
  • Cryptocurrency transactions are irreversible
  • We are not liable for losses due to incorrect addresses
  • Network fees may apply and are deducted from withdrawal amounts
  • Minimum withdrawal amounts may apply

9. Account Suspension and Termination

9.1 Our Rights

We reserve the right to suspend or terminate your account at any time for:

  • Violation of these Terms
  • Suspected fraudulent activity
  • Excessive chargebacks or disputes
  • Legal or regulatory requirements
  • Risk management purposes

9.2 Fund Holds

In case of account suspension, we may hold funds for up to 180 days to cover potential chargebacks, refunds, or disputes.

10. Intellectual Property

All content, features, and functionality of Payzo are owned by us and protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Service without explicit written permission.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Payzo is provided "AS IS" without warranties of any kind
  • We are not liable for indirect, incidental, or consequential damages
  • Our total liability is limited to the fees paid by you in the past 12 months
  • We are not responsible for third-party services (Stripe, blockchain networks)
  • We do not guarantee uninterrupted or error-free service

12. Indemnification

You agree to indemnify and hold Payzo harmless from any claims, damages, losses, or expenses arising from your use of the Service, violation of these Terms, or infringement of any rights of third parties.

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by applicable international laws and regulations, without regard to conflict of law principles.

13.2 Arbitration

Any disputes shall be resolved through binding arbitration, except where prohibited by law. You waive your right to participate in class action lawsuits.

14. Data Protection

Your use of the Service is also governed by our Privacy Policy. Please review our Privacy Policy to understand our data practices.

15. Changes to Terms

We may modify these Terms at any time. Material changes will be notified via email or platform announcement. Continued use after changes constitutes acceptance of the modified Terms.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.
